yep...turned out it was a chipped/missing tooth from 1st gear. Not a cheap fix either tranny rebuild time which would include a new main shaft 1st gear and first gear syncro.
Apparantly this a fairly common problem I've been hearing about a fair amount in other car's. When I had mine rebuilt they said it looked like 1st gear had lost it's "temper" and chipped.
