strange noise while downshifting....any ideas

It has happened three times now, all this weekend. When i downshift, as i am letting the clutch back in, i hear and feel a really horrible griding type sound coming from the front passenger side. This has happened on three seperate occations this weekend. Any ideas? I tried to recreate the problem on the way to work today, but was unable to.

and the noise starts. If I engage the clutch and shift up a gear it goes away. For example, yesterday I noticed it as i was going through the EZ-Pass lane gettin on the highway. I downshifted into second to slow down for the 15 mph limit, heard (and felt on the gas pedal) the grinding, immediatly shifted back into 3rd and it was gone.

I get a nasty hard rattle on any downshift which uses the engine for braking. 2nd, 3rd & 4th all do it. started immediately after clipping a raccoon I had to straddle on the highway.
Dealer thinks its the exhaust, as one hanger had broken free from the tailpipe from the sleeve bolt catching on the carcass. Could be its rattling against the heat sheilds...I get no feedback through the wheel or pedals, so this could be it. Hoping my new Milltek cat back exhaust system will clear things up...it goes on thursday.
