What are the "inception" fees? How much is the tax? What (if any) are the lease return fees?
Everybody's lease is different, but a few observations:
The sale price is still well above invoice
The cost to you to drive this car for three years will be about $20k - is it worth that to you?
Calculating the cost of a lease is simple. Multiply the months by the monthly payment (including tax) add all of the upfront fees and any lease return fees. Subtract and discounts and that is what the car will cost you for the duration of the lease. Add the residual to figure out what you actually paid for the car.
Here the dealer is giving you a small discount (once you figure in the fact that he keeps the rebate) so you're not getting the best deal - but you need to ask yourself - is this car worth $7000 a year to me - about 70 cents a mile before any operating costs?

When you say the loyalty cash goes to dealer, that should not be the case in my opinion. The loyalty cash should be used either as a cash rebate, cap cost reduction or used to lower the final cap cost on the lease side.
Why would the dealer choose to keep the loyalty cash when it clearly should go to you?
I could be wrong but something doesn't sound right.

OK, let me try again and here's the full disclosure on the lease:

Base monthly payment: $496 + tax @ 6%

AFS pays the first monthly payment.
The $750 Audi loyalty bonus goes to the dealer. (Dealer is trying to make money on this which is BS.)
This is the initial dealer offer without any negotiation. I haven't given my counter offer yet. TrueCar said the actual dealer cost for this car is $38034. Anything below $38528 is a great sale price. Edmunds gave me a similar # on what others are paying. Thanks!
