You have to ask yourself a question, which options you will actually use. I had a fully loaded 3-series and learned after 5 years of ownership that some options I never even used. When selecting A6 I found that P+ gave me all the options I would use and none that I won't. It's purely personal choice though.
So, for example I dislike Lane Departure systems. Also, with my commute I won't be using Active Cruise Control. I've also heard somewhat mixed reviews on the effectiveness of cooled seats, etc. etc. So, go down the list of options and ask yourself a question how often you will be using it. Then you can see and decide which makes more sense.

I got a 4 year/50k warranty on my 2003 7 series from Easycare for ~$5k (my OEM warranty had actually already elapsed). It turned out to be a good investment as it has already covered >$8k of repair costs.
In terms of your situation, the 12K mileage difference (from a warranty) could probably be reconciled for ~$1K.
Another way to look at financially is if you hold both for 2 or 3 years and drive 40k miles, I'm guessing the more highly optioned car would be worth more to prospective buyers since the difference between 45k and 57k is less relevant that the configurations.
Good luck with making choice, and if it were me, I'd go for the goodies.
