okay....if it is you to buy the car, would 28k sounds reasonable to you or the dealer?

Well it would sound reasonable to the dealer if $28k represented a fair amount over their cost, or if they for some reason wanted to get rid of this car...
For me, yes, $28k would be a decent price... even better if the car has the sport package. I'm going to assume it's a very early build if it has 55.6k already, so the late-production sport package (aka, the good one) probably isn't a possibility.
Also colors, condition, other options play into the price.
Do an appraisal on Edmunds.com through the link below... I don't like to pay more than the wholesale figure.

http://www.edmunds.com/used/2000/audi/a6/4drquattro42awdsedan/prices.html

Of course you had better inspect it thoroughly before purchasing, but typically high-mileage will be on highway more than anything. Also, high mileage usually means that an engine has been used in a manner that promotes longevity -- you don't have to worry about the engine being used to go to the grocery store and back (unless it is a 50 miles drive) :-)

sooo....what kind of price would be too high/too low for this car?...the car is black exterior with tan leather interior. It looks good from the picture. I was thinking 28k....do you think that is reasonable?

If it is an Audi-assured vehicle (2yrs...up to 100,000 total miles), I'd be surprised if they let it go for less than $35-37k. If not "assured" and has a clean title and history, low $30s is a good price, but buy an extended warranty.

it's not an Audi assured car...but the car looks good in the picture. They are asking about 31k which I think is too high for that kind of mileage.
