Reasonable price?

I am looking at a 2006 A6 Quattro with 11k miles at an audi dealer in the los angeles area. It is not CPO but still has 2.5 yrs left on the original 4 yr/50k mile warranty.
Options include the premium pkg, not much else.
Color: quartz grey w/ black interior
listed price: $39,995
i offered them $31k but i wanted them to clean up the car (still had someone's personal effects in the back seat) and look at it in the daylight. The car was parked in the underground garage of an office building (where most of their new and used cars are kept).
There were minor dings that are from reasonable wear and tear. I suppose they will try to negotiate somewhere in between but I am not willing to pay much more since I really don't care for the quattro engine (no offense).
What does the educated Audi public think is a reasonable purchase price for this car?

Depends on the engine. I wouldn't worry about the dings at 11k, a car can get them on a new lot.
I would ask if they can CPO for an additional fee, if they are unwilling it might have been in an wreck.
Did you run a Carfax? Not that would help if they didn't go through an insurance company.

my apologies.. it's a 3.2 engine
in response to someone else's comment, they are very minor dings that i can live with..
i stopped by the dealer again after they cleaned the car and took it for a test drive..
drove very smoothly.. much better than my current '99 vw passat 1.8T.. obviously not a surprise..
am interested in the car but was wondering what a reasonable price to offer the dealer would be. i was guessing in the $34-35k area.
thoughts/comments? much appreciated..

What is KBB and Edmunds value? I like Edmunds because it gives you what others are paying.
