What is the max hp/torque that the D2 A8/S8 tranny can handel?

309 foot pounds. correct.
420nm is the figure zf lists in their documentation of the tranny. however, the same unit is used with the rs8 and s8 with differernt torque convertors and valve bodies.

but doesnt the S8 have 317 foot pounds?
I guess i am a bit confused. Why would they have more torque than the tranny can handle. Please someone teach me something here, i guess i dont get it?

The torque rating is most likely a continuous rating
Even if it was slightly lower than the car can do, that torque value is most likely a continuous rating (meaning it can operate steady state transferring that amount of torque continously within design parameters).
Once your car accelerates and the engine speed increases, torque decreases. Therefore, it only has very small periods of time at max torque, and only if at full throttle.

thanks i understand how torque works when it comes to acceleration.
I see that the engine only is at full stress under a full load. So it would be harmful to the engine to raise the torque rating via methods such as chip/exhuast/filters?
