94 100S transmission seems to be slow shifting at times

I have a 94 Audi 100S station wagon with 117000 miles. The transmission does not slip and it drives normal on the highway. when the transmission kicks down you feel the shifting is rough and you feel a bump even if doing 40 or 50mph. If I am going at a slower speed and the car shifts on its own (no kick down) the shifitng is fine and smooth.
Also, when I slow down (but not to a full stop)and then push the gas to accelerate (not in an aggressive manner) I feel the transmission is not shifting down and it feels like the car is in 3rd gear when is should be in 2nd gear. if I take it easy and slowly accelerate the transmission acts normal again. This seems not to be a problem if I keep the gear in one gear lower than D or if I shift down to 3rd gear as soon as I slow down and decide to accelerate again.
I took the car to the Audi dealership and they told me I need a new transmission since they read an internal failure. However, a mechanic friend of mine test drove the car and did not think it needs a new trany, but he does not know what the problem is.
Anybody has any ideas ?

If the Audi dealer indicated an internal failure then I would suspect the valve body or the transmission pump. You could try having the filter and fluid replaced first. Otherwise drive it until it breaks. This car is 10 years old and not really worth sinking $3k-$4k into it. If you can find someone to replace it with a good used transmission (Donor car that was rear ended or hit on the side with <80k on the odometer) for under $2500 then I would have it replaced.
