Looking to purchase an AllRoad

I've found a '04 Allroad 2.7t black, with 42,000. The Audi dealer is asking $25,900, anyone have an idea how much I should be able to drive out of the dealership paying? The car is a CPO w/ extended warranty up to 6 yrs/100k miles. There is small private dealership offering a comprable car for $22,900 w/ 47k miles, but not CPO. Think $22,900 is reasonable offer to the audi dealership or could I go lower or do I need to offer more?
Also, I have concern for maintenance after the additional 2 years for I will be financing it for 5 years and will have 3 years without coverage. Am I reading into the realibilty issue to much? After all it a very sweet car and there is no other wagon like it.

policy to offer, negotiated as part of your purchase. $3000 premium is a lot, and CPO is not full coverage and only 2 yrs (and no guarantee that the car is correct now or even inspected - get any car inspected by a local Audi expert shop). $3000 almost buys Audi's Pure Protection 3 more years coverage, which is much more comprehensive. You should be concerned over costs, the odds suggest they can run high over time.

.....warranty for five years and 50K miles from warranty purchase date, exclusionary, from top rated company (www.inds.com), for $2645 after $225 GB discount. It might get to $300 discount if we get four more people.

this car you speak of, if it is a manual, is the exact car I was trying to buy at auction two weeks ago. FYI, and you didn't hear this from me, they paid $23k. I think the dealership was something like "go-automotive" but I am not certain. Considering auction fees, transportation costs and their profit margin, I would say not much room to negotiate on this one. Maybe $25k if they want to sell quickly, maybe.
