I've got to choose words carefully, but I will say that my _personal opinion_ is that something very disingenuous and underhanded is being done here, and it may be up to the membership to take control back and correct things.

Section 5.2 of the ACNA bylaws are very specific regarding the method of filling board vacancies:

"Any vacancies occurring in the Board of Directors shall be filled by a vote of the majority of the directors then in office."

Note the "majority of the directors". Keith's letter states "In the interim, the Executive Committee has appointed Giovanni Tomasi of the
Northeast Chapter and Dean Esmail of the Rocky Mountain Chapter to fill the
Director vacancies left by Craig and Mike."

The appointment of Dean Esmail and Giovanni Tomasi are in direct voliation of the ACNA bylaws since the majority of the directors did not vote upon appointing Dean and Giovanni as interim Directors.

Just another example of how the Executive Committee is flagrently ignoring the ACNA bylaws...
