Just installed the W8 Passat bellypan on my B5 S4...
I can confirm that it is a direct fit onto an S4. No problems whatsoever, so it should fit any B5 chassis. I bought the complete hardware kit from ECS for $39, got the bellypan from my local Vw/Audi/Porsche dealer for $62. Part # 3B7 825 235A.
The belly pan comes with the back 3 bolts and the little plastic hold downs for the fender liner.
Turns out I didn't need the entire ECS hardware kit, but it's always nice to have extra hardware parts, esp for the bellypan as they seem to disappear into the twilight zone with frightening regularity.
My car was missing the belly pan entirely when I bought it (previous owner had an oil pan warmer and probably just discarded the bellypan).
Only tool you need to install it is a quarter to turn the bolts. Oh, and a jack and jack stands.
I suppose you don't really need the bellypan, I doubt it really does much aerodynamically, but it does protect your windshield washer reservoir from rocks and such...

I had to use all the bolts for the forward mounts
to the front bumper, the plastic bolts for both fender liners and two metal clips for the back mounts...
It really depends tho, my car didn't have the belly pan at all, so was missing almost all of the hardware with the exception of one bolt and two clips. If you currently have a bellypan, you won't need any additional hardware at all. In fact, you'll have extra since the W8 pan comes with some.
