Thanks a ton all for your input. Well, gone work some numbers with the dealership and if they can get me less per month than my M I am goin to switch.
Does the 04 tiptronic come with paddles or just 05?
Also - I am not sure I am ready for a wagon - I have tried to talk my self into it (one of my good friends has an 02 S4 and has been telling me to get the avant). But from M3 to wagon? I know I know its a performance wagon - but wouldnt it still feel a bit frumpy? Any Avant owners have cool pics that might sway my opinion?

You need 4 snow tires, but driving this car in the snow is a blast. I don't know how well the BMW traction control works, but the AWD system in the S4 is amazing. You'll be surprised by how quickly you can accelerate in slippery conditions - both snow and rain. The winters are long in New England and it might as well be fun.

Flanker,
I was in a very similar situated, except my 03 6spd M3 was stolen. I am in the real estate business so I sometimes have clients in the back seat. My wife and I just had a baby 3 months ago, so I seriously considered getting a 6spd S4 instead of another M3.
One test drive should be enough to convince you. I loved my M3, the only two things I didn't like where the lack of torque and driving it in the snow. The S4 more than takes car of both.
I still love M3's but no regrets on getting an S4. Love it more each time I drive it. I would definitely pick the S4 over another M3.

Flanker,
My decision was between a 2000 or 2001 M3 and a 2001.5 S4. I have quite a bit of track time in M3's, mostly right seat, and am a great admirer of them. My only direct Audi experience was driving a colleague's leased S4 on the street (and I bought it when it came off lease; he leased a new one).
I think the M3 is in a class of its own as a dry-weather street car (and also dual-use occasional track car if that's what someone wants). But I don't see it as an adequate winter car for me (my driveway alone would decide that), and I have the client-carting issue as well.
I bought the B5 S4 last week and I couldn't be happier, driving it is pure pleasure, and I'm sure the B6 is even better. It doesn't have the raw guts of the M3, but it's no slouch. It's more refined and is an extremely pleasing street car.
I have a track car and I'm not going to track the S4. If track use was a consideration, I'd get the M3 in a flash. The B6 may be a different story, but I wouldn't be comfortable flogging a B5 around mainly out of concern about toasting the turbos.
Do any track event with CVC?

...j/k, but seriously, I considered an M3 and opted for a 540/6 instead as I drive a lot and need a car with a motor that'll last at least several hundred thousand miles, which, I believe the v8 in the 540 will, as will the v8 in the S4. Naturally if you don't plan on keeping a car over 100k then this is a non issue for you. BTW, I also have an A4 (2001) with a big turbo kit and over 100k still running strong. When it comes time to replace that one (hopefully I'll get at least another 100k) then no doubt an S4 will be next. Oh, I live in CT too, in the northwest hills, and there is nothing like quattro for the snow! The 540 stays in it's nest for the winter.
