That car should be selling in the mid-high-$40K range, based on 5 months of research/waiting for the right deal before I bought my car. My experience was that certain dealers were very unrealistic about used values, which led to them sitting on overpriced cars for months, all the while insisting that the cars were priced right.
My best advice is for you to keep in mind that it's still just a used car, and that there are most likely others out there that would suit your needs.

I had a 2002 TL-S before my S4 (both automatics) and they're worlds apart. Performance and handling are an order of magnitude better in the S4, simply no comparrison in my book. If you can wait I'd suggest special ordering it to your preferred specs and definitely get the sport diff.

I'm a forumer acura owner and have since moved on to two Audi; first a tt 2.0t and now the S4. My old 04 TSX was a good car for me at the time; and the TL is obviously a step up for that but I think a test drive alone will sell you on the audi.
German cars in general have a very different way of suspension tuning. Then tend to have much softer spring rates and much firmer rebound rates as compared to most japanese cars which are the opposite. This leads to german cars giving the sense of "soaking up the road" yet feeling very controlled while most japanese sporty cars bounce heavily or jack over uneven roads. This may have changed in the last 5 years or so but I would guess not.

I had an '05 TL 6spd and a '07 TL type-S 6spd manual...I have NO REGRETS about the S4. The S4 is a really nice upgradee from the TL (even the type-S). You won't regret it!

I just got a 2012 S4 after 8 years driving a CL Type S, 6sp. I've only had the S4 for a week, but the Audi is a completely different animal. More sporty and more luxurious. You will be very pleased with the upgrade.
I agree with the others, you would do better buying new.

Big thanks to all the replies. Looks like a good trend here from Asian to German and exactly what Audi's been trying pull off, especially lately. The A6 seems to have had the most impact on swaying loyal owners and that's actually what exposed me to the S4. Gotta have the manual and its gotta be able to hold a family, oh and 0-60 around 5 seconds.
I found another one, locally. Hope to test drive it this week. Sport diff, Nav and better interior than the used one that started the thread.

Oh, anyone ever bought an Audi without the factory wheels? I'm already considering something more my style and wondering if a credit can be generated via the invoice, or is that a craigslist / eBay / local deal instead?

Just wondering what price range you are looking to pay. Lots of guys run aftermarket wheels. But don't expect the dealer to take off the OEM wheels and credit you for them. There seems to be a market for both the 18" and 19" wheels. Some might use the 18s for winter wheels. Others, especially the A4 owners, like to upgrade to the 19" "peelers" as they are called. (the spokes look like potato peelers). Also wondering if you have checked out autotrader.com to look for new or used S4s in your area? Give it a try if you haven't
