2002 S4: Dealer offers $24k for trade-in - what would you do?

I'm looking to trade-in my 2002 S4 (silver/black, 35k miles, every option but NAV and sport pkg) for an A4 1.8T and the dealer's offering me $24k for trade-in. I've checked out KBB and Edmunds but wanted AW's opinion as well. Is $24k a good price for it?

$24k is a strong trade-in value, IMO. The current average for 2001 S4's at auction (Manheim) is $19k ... and that's usually where dealers start when valuing trades.

At least in all the states I've lived in, you get a tax advantage from trading in that you're only assessed tax on the difference between the trade and purchase price of the new vehicle. So on $24k, at 8%, you're saving nearly $2k in tax liability ... which makes your trade effectively worth $26k!
