buying an S4: need advice....

I'm thinking of trading in my 1999.5 A4 Quattro 1.8t for this 2001 S4 Quattro:
Price: $29,000
Miles: 22,999
Engine: 2.7L 6cyl turbo
Color: Silver
It's being sold "certified" from Carousel Automobiles in Minneapolis. I've got a few questions for all you gurus out there in the forum who are way more knowledgeable than me:
(1) Will this car have timing belt, control arm and cam gasket issues like my 1.8t? If so, will the Audi warranty fix this stuff - the stuff that actually goes wrong with the car? Or does it just cover the items that never seem to break?
(2) Is this a fair price?
(3) Any other advice on whether this is a worthwhile upgrade from my 1.8t car?
