What happens if I don't do that? My cluster dont work?
Shall I have the M-box in there before I do the cluster re-code or can I do that before swap?
I don't have VAGcom, so I wanted to just get it done at a shop, then come home and swap the ECUs.
Any help is appreciated!!!

...the car will still run fine.
You may get an EPC light after about 50 miles or possibly the RED OIL warning light if the coding is wrong, but the car drives fine, none the less. I'd say your best bet is to just find someone local with a VAG and follow the <a href="http://s4wiki.com/wiki/Cluster_recode">guide</a>, then go order a VAG cable.

should be ok.
One question... when doing it, it said:
Code 0 - for Immobolizer II
Code 1025 - for Immobolizer III
M-box supposed to be 1025... so does it have a different immobolizer?

The B5 does not have an immobilizer at all, regardless of the year.
The *ONLY* thing that this procedure (please refer to my original link) does is tell the instrument cluster how it should be communicating with the ECU.
