i need new cats, this is the perfect time to replace the complete system, what would you recommend for my tiptronic and doing this while I can. was looking at the millitek exaust (sound is nice and they have some nice downpipes and complete exaust). But, what is a good price I should pay installed?

those are nice, but borla is best bang for the buck at ~$600 vs ~ double that

Default Downpipes aren't necessary but gutting the pre-cat would help nicely.

I have a UUC VM3 for sale for cheap also if your interested. Like 2KS4 Jason said, probably the best sounding exhaust ever made for the B5 S4 (also rare because it's discontinued)
